Terms of Use

These Terms of Use and End-User License Agreement (the “Agreement”) govern your access to and use of the website, services, software, and integrations provided by monExpansion, a sole proprietorship owned by Julien Klein (“monExpansion”, “we”, “us”). By accessing the website, using our services, or connecting the software integration, you accept this Agreement. If you do not agree, you must not use the Service.

1. Definitions

  • Service: the monexpansion.com website, the content, coaching, AI systems, software, and integrations provided by monExpansion.
  • Integration: the monExpansion software integration that connects to QuickBooks Online (Intuit) through Intuit’s official API.
  • User: any person who accesses or uses the Service.
  • Your data: the content and data, including accounting data, that you provide or make accessible to the Service.

2. License

Subject to your compliance with this Agreement, monExpansion grants you a personal, limited, non-exclusive, non-transferable, and revocable license to use the Service for your internal and legitimate purposes. monExpansion retains all rights not expressly granted to you.

3. Permitted and prohibited use

You agree to use the Service lawfully and in accordance with this Agreement. You must not, in particular:

  • circumvent, disable, or compromise the security measures of the Service;
  • reverse-engineer, decompile, or attempt to extract the source code, except to the extent permitted by law;
  • copy, resell, rent, sublicense, or redistribute the Service without written authorization;
  • use the Service for illegal, fraudulent, deceptive, or rights-infringing activities;
  • transmit malware or disrupt the operation of the Service or of third-party systems, including those of Intuit;
  • access data or accounts that do not belong to you or for which you are not authorized.

4. QuickBooks Online integration (Intuit)

The Integration connects to QuickBooks Online through Intuit’s official API. The following specific terms apply:

  • OAuth authorization: you authorize access through Intuit’s secure OAuth protocol. monExpansion never receives your Intuit credentials.
  • Read and write on your behalf: you authorize the Integration to read and write accounting data in your QuickBooks Online account in order to perform the operations you request.
  • Accuracy of your data: you remain solely responsible for the accuracy, completeness, and compliance of your accounting and tax data, as well as for the operations you request and authorize through the Integration.
  • No accounting or tax advice: monExpansion does not act as an accountant, tax specialist, or financial advisor. The Service and the Integration do not constitute accounting, tax, legal, or financial advice. You should consult a qualified professional for such advice.
  • Revocation: you may revoke the Integration’s access at any time from your Intuit account or by asking us to do so. Revocation ends access, without retroactive effect on operations already performed.
  • Relationship with Intuit: Intuit is an independent third party. Your use of QuickBooks Online is governed by Intuit’s own terms and privacy policy, which you accept directly with Intuit. monExpansion is not responsible for Intuit’s services, availability, or decisions.

5. Intellectual property

The Service, including its software, code, content, text, graphics, marks, and the monExpansion brand, is protected by intellectual property rights and remains the exclusive property of monExpansion or its licensors. No ownership rights are transferred to you. You retain all rights to your data; you grant monExpansion the limited rights necessary to host, process, and provide the Service to you.

6. Availability and “as is” provision

The Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including, without limitation, any warranty of merchantability, fitness for a particular purpose, uninterrupted availability, freedom from errors, or non-infringement of third-party rights. monExpansion does not warrant that the Service or the Integration will operate without interruption or error, or that the results obtained will be accurate or reliable. You use the Service at your own risk.

7. Limitation of liability

To the fullest extent permitted by applicable law, monExpansion shall not be liable for any indirect, incidental, special, punitive, or consequential damages, nor for any loss of profits, revenue, data, goodwill, or business opportunities, arising from the use of or inability to use the Service or the Integration, even if monExpansion has been advised of the possibility of such damages. To the extent permitted by law, monExpansion’s total liability, for any claim related to the Service, shall not exceed the amount you paid monExpansion for the Service during the twelve months preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD 100) if no amount was paid. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability; in such cases, these limitations apply to the extent permitted by law.

8. Indemnification

You agree to indemnify and hold monExpansion harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service in breach of this Agreement or the law, or from the infringement of a third party’s rights.

9. Termination

You may stop using the Service at any time and revoke the Integration’s access. monExpansion may suspend or terminate your access to the Service, in whole or in part, in the event of a breach of this Agreement, a legal requirement, or for operational reasons, with reasonable notice where possible. Upon termination, the license granted in section 2 ends. Sections that by their nature must survive (notably intellectual property, warranty disclaimers, limitation of liability, indemnification, and governing law) remain in force.

10. Changes to the Agreement

monExpansion may amend this Agreement to reflect changes in the Service or in the law. The last-updated date appears at the top of the document. Where a material change occurs, reasonable notice may be provided. Continued use of the Service after the changes take effect constitutes acceptance.

11. Governing law and jurisdiction

This Agreement is governed by the laws of the Province of Quebec and the laws of Canada applicable therein, without regard to conflict-of-law rules. Any dispute relating to this Agreement falls under the exclusive jurisdiction of the courts of the judicial district of Montreal, Province of Quebec, subject to the mandatory rights granted to consumers by law.
